1. Agreement to Terms

By accessing or using Neural Matrix's services, including our Shopify applications and custom development services, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access our services.

2. Description of Services

Neural Matrix provides Shopify application development services, including but not limited to:

• Custom Shopify app development
• Public Shopify apps (including File Uploader Pro)
• Theme customization and integration
• API integrations and third-party services
• Ongoing maintenance and support

3. User Responsibilities

When using our applications or services, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Use our services only for lawful purposes
• Not attempt to reverse engineer, modify, or distribute our software without permission
• Comply with all applicable laws and Shopify's Terms of Service

4. Intellectual Property

All content, features, and functionality of our services—including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof—are the exclusive property of Neural Matrix and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5. Custom Development Projects

For custom development projects:

• Project scope, timeline, and pricing will be agreed upon before work begins
• Ownership of custom code transfers to the client upon full payment, unless otherwise agreed
• We retain the right to use general techniques and knowledge gained during development
• Confidential information shared during projects will be protected as outlined in our Privacy Policy

6. Payment Terms

Payment terms for our services are as follows:

• App subscriptions are billed according to the pricing displayed in the Shopify App Store
• Custom development projects require a deposit before work begins
• Final payment is due upon project completion and before handover
• All fees are non-refundable unless otherwise stated

7. Limitation of Liability

To the maximum extent permitted by law, Neural Matrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) our services.

8. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use our services will cease immediately.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
